1. Agreement to these Terms
These Terms of Service (“Terms”) form an agreement between you and Sequency, Inc. (“Sequency,” “we,” “us,” or “our”). By accessing or using our websites, applications, market data, research tools, artificial-intelligence features, brokerage connections, or trading tools (collectively, the “Services”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility and authority
You must be at least 18 years old, legally capable of entering a binding agreement, and permitted to use the Services where you live. If you use Sequency for an organization, you represent that you are authorized to bind that organization. You may not use the Services if doing so would violate applicable law, sanctions, exchange rules, or an agreement with your broker or another third party.
3. What Sequency provides
Sequency provides software for market analysis, research, portfolio context, signal generation, trade planning, risk controls, and user-directed or automated order workflows. Features and supported assets, brokers, data sources, and execution modes may change over time. We may add, modify, limit, suspend, or discontinue any feature.
Sequency is not a securities exchange, clearing agency, custodian, or bank. We do not hold your cash or securities. Brokerage accounts, custody, order execution, clearing, settlement, market access, and broker-specific compliance are provided by the brokerage or other financial institution you select and remain subject to that provider’s agreements, disclosures, fees, and controls.
4. No investment, legal, or tax advice
Unless we expressly state otherwise in a separate written agreement for a separately regulated service, Sequency does not act as your broker-dealer, investment adviser, fiduciary, attorney, accountant, or tax adviser. Content available through the Services is provided for informational and educational purposes. It is not an offer or solicitation and should not be treated as a recommendation or suitability determination to buy, sell, or hold any security or pursue any strategy.
Some features may use your holdings, watchlists, risk settings, prompts, or activity to organize information or make outputs more relevant. Such context does not account for every aspect of your objectives, finances, tax situation, liquidity needs, or risk tolerance. You remain responsible for deciding whether an investment, strategy, or order is appropriate for you and should consult qualified professionals when needed.
5. Artificial intelligence and automated outputs
Sequency uses software models, including generative AI, to produce summaries, scores, classifications, explanations, alerts, trade plans, and other outputs. AI systems can be inaccurate, incomplete, outdated, biased, inconsistent, or misleading, and may produce confident statements that are not supported by verified facts. Outputs are not price targets, forecasts, guarantees, or a substitute for independent research.
Outputs may rely on proprietary and third-party information. Relationships identified between news, market conditions, securities, and your holdings may be algorithmic and should not be interpreted as causal or predictive. Coverage and update frequency vary, and displayed information is current only as of its stated timestamp. You must review source information and independently verify material facts before acting.
6. Brokerage connections and your authorization
If you connect a brokerage account, you authorize Sequency and its service providers to access the account information and capabilities you approve. Depending on the connection and permissions you choose, this may include balances, holdings, orders, transaction history, account capabilities, and authority to transmit order instructions.
You are responsible for selecting the correct account, reviewing connection permissions, maintaining sufficient buying power, and ensuring that each instruction complies with your broker’s rules. You may revoke a connection through the available product or broker controls. Revocation may not cancel an order that has already been accepted by a broker.
7. Automated and agentic trading
Certain features may monitor specified conditions and create, stage, transmit, modify, or cancel orders based on the execution mode, strategy, and risk limits you configure. In a supervised mode, an order requires your approval before submission. In an autonomous mode, eligible orders may be submitted without contemporaneous approval after configured checks pass. Enabling an automated mode is your instruction to operate within those parameters until you change or disable it.
Automated trading involves additional risks, including stale or incorrect data, software errors, duplicate or missed signals, delayed or rejected orders, partial fills, slippage, market gaps, exchange halts, connectivity failures, and positions that cannot be closed at an expected price or time. Risk limits, stops, end-of-day controls, and kill switches are designed to reduce risk; they cannot eliminate it or guarantee an order will be accepted, executed, canceled, or filled. You remain responsible for monitoring your account and maintaining independent access to your broker.
8. Investment and options risk
All investing and trading involve risk, including loss of principal. Options and other leveraged or complex products can lose their entire value in a short period and may not be appropriate for every investor. Past performance, backtests, simulations, hypothetical results, scores, and historical relationships do not guarantee future results. Simulated results may not reflect liquidity, fees, taxes, slippage, latency, market impact, or the psychological effects of live trading.
9. Market data and third-party content
Market data, news, filings, analyst information, and other third-party content may be delayed, incomplete, unavailable, or inaccurate. Unless expressly stated, Sequency does not independently verify all third-party information and does not endorse third-party opinions. You may not extract, redistribute, resell, or use licensed data except as permitted by the Services and the applicable provider.
10. Accounts and security
You must provide accurate account information, protect your credentials and devices, and promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise. Do not share authentication tokens, API credentials, or access to your account with an unauthorized person.
11. Acceptable use
You may not:
- use the Services unlawfully, deceptively, or to manipulate a market;
- circumvent access controls, risk controls, rate limits, or security measures;
- probe, disrupt, reverse engineer, or introduce malicious code into the Services;
- scrape, resell, republish, or redistribute protected content or data without permission;
- use Sequency to provide regulated services to others without appropriate authority; or
- misrepresent AI outputs, simulations, or model portfolios as guaranteed results.
12. Your content and feedback
You retain ownership of prompts, strategies, watchlists, files, and other content you submit. You grant Sequency a limited license to host, process, reproduce, and transmit that content as needed to operate, secure, and improve the Services. You represent that you have the rights needed to provide it. If you submit feedback, you permit us to use it without restriction or compensation.
13. Sequency intellectual property
The Services, including their software, design, models, workflows, documentation, trademarks, and original content, are owned by Sequency or its licensors and are protected by intellectual-property laws. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. They do not transfer ownership of any Sequency intellectual property.
14. Fees and subscriptions
Paid features are subject to the pricing and billing terms shown when you subscribe. Unless required by law or stated otherwise at purchase, fees are non-refundable. Your broker, exchanges, data providers, or other third parties may charge separate fees that Sequency does not control.
15. Third-party services
The Services may depend on or link to brokers, market-data vendors, AI providers, authentication services, hosting providers, payment processors, and other third parties. Their products are governed by their own terms and privacy practices. Sequency is not responsible for a third party’s availability, acts, omissions, security, content, or decisions.
16. Suspension and termination
You may stop using the Services at any time. We may restrict or terminate access if we reasonably believe it is necessary to protect users, markets, third parties, or Sequency; comply with law; address nonpayment; investigate misuse; or preserve service integrity. Sections that by their nature should survive termination will survive, including those concerning ownership, risk, disclaimers, liability, and disputes.
17. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Sequency disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability. We do not warrant that alerts will arrive, models will perform as expected, controls will prevent every loss, or any order will achieve a particular outcome.
18. Limitation of liability
To the fullest extent permitted by law, Sequency and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, opportunities, or goodwill; or losses arising from investments, trading, market events, third-party services, AI outputs, data errors, or unauthorized access. Our aggregate liability for claims relating to the Services will not exceed the greater of $100 or the amount you paid Sequency during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so those limitations apply only to the extent permitted by law.
19. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Sequency and its affiliates, officers, employees, and service providers from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your content, your violation of these Terms, or your infringement of another person’s rights.
20. Changes and general terms
We may update these Terms. We will post the revised version and update the effective date; material changes may also be communicated through the Services or by email. Continued use after the revised Terms take effect means you accept them. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms and any additional terms presented for a specific feature constitute the entire agreement concerning the Services.
